These Terms of Service (“Terms”) govern access to this website and requests for products or services from Arable Tex. By using the website, submitting a form, or purchasing through an enabled checkout, you agree to these Terms. A signed proposal, statement of work, order form, or other written agreement controls if it conflicts with these website Terms.
1. Eligibility and authority
You must be legally able to enter a binding agreement. If you use the website for a company or other organization, you represent that you have authority to bind that organization.
2. Website information and service requests
Website descriptions, packages, examples, timelines, and prices are general information and may change. A form submission does not guarantee acceptance, availability, a start date, a specific outcome, or a contract. Work begins only after scope, fees, responsibilities, and payment requirements are confirmed in writing.
3. Proposals, scope, and client responsibilities
Final deliverables, revisions, schedule, access requirements, approval deadlines, reporting, ownership, fees, and third-party costs are stated in the applicable written agreement. You are responsible for timely access, accurate information, lawful instructions, approvals, and rights to all content, trademarks, data, claims, audiences, and credentials you provide.
4. Pricing, payments, and taxes
Unless a written agreement states otherwise, displayed prices exclude advertising spend, software, subscriptions, production, travel, taxes, duties, banking charges, and third-party fees. Payments are processed through the provider shown at checkout or on the invoice. You authorize applicable charges and agree to provide accurate billing information. 5. Performance and platform risk
Advertising, search, social media, websites, automation, analytics, and business results depend on market conditions, platforms, budgets, offers, competition, data quality, approvals, and other factors outside our control. We do not guarantee rankings, approval by a platform, uninterrupted accounts, lead volume, conversion rate, return on ad spend, revenue, profit, or any other specific result.
6. Intellectual property
The website, brand assets, original text, designs, code, and other materials are owned by or licensed to us and are protected by applicable law. You may not copy, modify, distribute, scrape, reverse engineer, or commercially exploit them without permission, except as allowed by law. Ownership and licenses for client deliverables are governed by the applicable written agreement and may depend on full payment.
7. User content, feedback, and testimonials
You retain ownership of material you submit. You grant us the limited rights reasonably necessary to review, process, store, and use that material to respond to your request or deliver the agreed service. We will not publicly use your name, logo, testimonial, or confidential project information without permission or another lawful basis.
8. Acceptable use
You may not use the website to violate law or third-party rights; submit malware, spam, deceptive or harmful material; probe or bypass security; overload or disrupt the website; impersonate another person; harvest data without authorization; or interfere with another user. We may block abusive activity and preserve evidence where appropriate.
9. Third-party services
The website and our services may depend on third-party platforms, plugins, payment providers, hosting, APIs, or links. Their terms and availability are outside our control. We are not responsible for independent third-party acts, outages, account decisions, policy changes, or data practices.
10. Confidentiality and security
Confidentiality duties are governed by the applicable agreement. Each party must use reasonable care with credentials and confidential information. Do not send passwords, secret keys, payment-card data, or highly sensitive information through an ordinary contact form unless specifically instructed through a secure method.
11. Disclaimers
To the maximum extent permitted by law, the website and general information are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Arable Tex and its personnel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, revenue, data, goodwill, or business opportunities; or third-party platform decisions. Our aggregate liability arising from a specific paid transaction will not exceed the amount paid to us for the affected product or service during the six months before the event giving rise to the claim. This limitation does not apply where prohibited by law or to liability that cannot legally be limited.
13. Indemnification
To the extent permitted by law, you agree to defend and indemnify us against third-party claims arising from your unlawful use of the website, material or instructions you supply, infringement of third-party rights, or breach of these Terms. This section does not require indemnification for our own unlawful conduct.
14. Suspension and termination
We may suspend or end access for security concerns, unlawful activity, material breach, nonpayment, or abuse. Provisions that by their nature should continue—including payment, intellectual property, disclaimers, limitations, and dispute terms—survive termination.
15. Disputes and governing law
Before filing a claim, each party should provide written notice and allow a reasonable opportunity for good-faith resolution. Unless mandatory law requires otherwise, these Terms are governed by the laws of People's Republic of Bangladesh, without regard to conflict-of-law rules, and disputes may be brought in courts with lawful jurisdiction over the parties and subject matter. Mandatory consumer protections in your place of residence remain unaffected.
16. Electronic communications
You consent to receive transactional communications electronically at the contact details you provide. Marketing communications are subject to applicable consent and opt-out requirements.
17. Changes and severability
We may update these Terms prospectively. If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue.
